General terms and conditions of sale in Silvio S.L.’s online stores (calzadossilvio.com and calzadocomodo.net)

This document establishes the general conditions of the contractual relationship whose purpose is the sale and purchase of SILVIO SL products (hereinafter CALZADOSSILVIO), with registered office at C/ Royo 5 and 7 in Zaragoza, tax identification number B50347004, represented by Mr Alberto Fernández Álvarez, with national identity document number 29111561R, by individuals and/or legal entities (hereinafter the CONTRACTING PARTY) who express their intention to purchase the products and services available on the website www.calzadossilvio.com by submitting a request via the internet through that website. These user requests constitute the specific conditions to which these general conditions are associated and which the CONTRACTING PARTY must necessarily accept electronically prior to purchasing the product. The CONTRACTING PARTY is presented with these conditions through the website www.calzadossilvio.com, so that they may read, print, file and accept them; the CONTRACTING PARTY may not purchase the product unless this acceptance has taken place. The CUSTOMER will always have these general conditions available in a visible location on the website. The domain under which CALZADOSSILVIO operates has been duly notified to the Zaragoza Commercial Registry with the following details: Zaragoza Commercial Registry entry, Volume 2304, Book 0, Folio 159, Sheet Z-23188, Entries 3.

These general conditions, together with the request for the specific products made by the CONTRACTING PARTY—the specific conditions—entail the formalisation of the sale and purchase contract between THE OWNER and the CONTRACTING PARTY, who declares that they have read, understood and accepted these conditions.

FIRST.— Purpose and scope of application.—
These General Conditions of contracting and use are intended to regulate the provision of the information supplied in the online stores calzadossilvio.com and www.calzadocomodo.net,, as well as the commercial transactions arising between calzadossilvio.com, calzadocomodo.net and users of the domain calzadossilvio.com and www.calzadocomodo.net.. Both browsing the online store and purchasing any of the products offered therein constitute acceptance by the user, without reservation of any kind, of each and every one of these general conditions of contracting and use. calzadossilvio.com may modify these general conditions of contracting and use at any time and without prior notice, as well as any specific conditions that may be included, by publishing such modifications in the store so that users may become aware of them, with the date of such modifications being recorded.

SECOND.— RIGHTS AND OBLIGATIONS OF THE OWNER.—
2.1. Delivery of the product.— THE OWNER undertakes to deliver the product in perfect condition to the address indicated by the CONTRACTING PARTY in the order form, which contains the specific conditions attached to these general conditions. THE OWNER shall not be liable for delivery errors when the information entered by the CONTRACTING PARTY in the order form is inaccurate or has been omitted.

2.2. Liability of THE OWNER.— THE OWNER shall under no circumstances be liable for:
2.2.1. Errors, delays in the CONTRACTING PARTY’s access when entering their details in the order form, slowness or inability of recipients to receive the order confirmation, or any anomaly that may arise when these incidents are due to problems with the Internet network, unforeseeable circumstances or force majeure. In any event, THE OWNER undertakes to resolve any problems that may arise and to provide all necessary support to the CONTRACTING PARTY in order to reach a prompt and satisfactory solution to the incident.
2.2.2. Errors or damage caused by inefficient or bad-faith use of the service by the CONTRACTING PARTY.
2.2.3. The non-operation of the email address provided by the CONTRACTING PARTY for sending the order confirmation within twenty-four hours of the order being placed.

2.3. THE OWNER bears full responsibility for the quality of the products and accepts their return provided that they are defective or do not reach the CONTRACTING PARTY in proper condition. In this case, THE OWNER shall bear the costs incurred as a result of such return, provided that the CONTRACTING PARTY reports this circumstance. Before signing for delivery of the order, the CONTRACTING PARTY must ensure that the packaging arrives in perfect condition, without knocks or any type of damage. The CONTRACTING PARTY is obliged to refuse the order if the packaging is damaged or deteriorated.

In the event of a defective product, THE OWNER shall, as applicable, repair or replace the product, reduce the price or terminate the contract, with such procedures being free of charge for the CONTRACTING PARTY. THE OWNER shall be liable for any lack of conformity that becomes apparent within two years from delivery. The CONTRACTING PARTY must inform the seller of the lack of conformity within two months from becoming aware of it.

THE OWNER’s liability if it fails to comply with the provisions of this agreement under the terms of these general conditions shall be limited to exchanging the product or refunding the amount that the CONTRACTING PARTY may have paid, where applicable, and always subject to the CONTRACTING PARTY’s prior return of the product in question.

THIRD.- RIGHTS AND OBLIGATIONS OF THE CONTRACTING PARTY.-
3.1. Payment.- The CONTRACTING PARTY undertakes to pay in advance the amount for the product actually ordered, in the following amount and manner:
3.1.1. Amount.- The remuneration for the product actually ordered by the CONTRACTING PARTY, depending on the product ordered, shall be that indicated on the website and shown in the CONTRACTING PARTY’s specific request at any given time, such requests constituting the specific conditions of the particular order. CALZADOSSILVIO shall send confirmation of the order and its total amount within twenty-four hours. The prices of the products displayed on the website always include VAT.

In addition, the applicable shipping costs must be added to the price shown on the website for each of the products offered.

CALZADOSSILVIO shall ship through a logistics operator or transport agency at a price that will be indicated in the order confirmation, with a delivery period of 48/72 business hours for domestic shipments (excluding the Canary Islands, Ceuta and Melilla, Europe and the rest of the world).

Shipping costs shall be free for orders of 50 euros or more, including VAT, in Spain (excluding the Balearic Islands, the Canary Islands, Ceuta and Melilla, Europe and the rest of the world).

Shipping costs to the Canary Islands, Ceuta, Melilla and areas outside the European Customs Union do not include import costs (customs duties), which shall be paid in cash at the destination by the recipient of the goods.

As these are rates that CALZADOSSILVIO does not apply at any time, it should be noted that they shall always be those offered by the companies based on the shipping address and weight, and that CALZADOSSILVIO shall always inform the CONTRACTING PARTY in advance, in the purchase request confirmation, of the total cost of both the product and the shipping costs.

These prices are indicative, as the transport price varies depending on the weight and volume of the package.

Spain (Mainland) Seur 6 euros; free shipping for orders of 50 euros or more.
Spain (Balearic Islands) Seur from 9.5 euros.
Spain (Ceuta and Melilla) Seur from 17.42 euros.
Spain (Canary Islands) Seur from 14.37 euros.
Europe from 16.36 euros, depending on the destination country.
Rest of the world from 25.20 euros, depending on the destination country.


3.1.2. Payment methods.- The CONTRACTING PARTY must pay the amount corresponding to the contracted service by means of:

3.2. Withdrawal and return of products.- The products offered on www.calzadossilvio.com and www.calzadocomodo.net are subject to the right of withdrawal provided that the product is returned in the same condition in which it was delivered and with the packaging in perfect condition. The withdrawal period is 14 working days from receipt of the order. The return shipping costs shall always be borne by THE CONTRACTING PARTY. Once the goods have been received at our warehouses, and after checking their condition, the amount paid will be refunded under the terms established in RDL 1/2007, using the payment method chosen by the customer, except for cash payments, which will be refunded by bank transfer.

3.3. Product warranty.
The warranty period is, by default, three years. The warranty does not cover deficiencies caused by negligence, impacts, incorrect use or improper handling, incorrect installations, etc., nor materials that have become worn through use. During the warranty period, CALZADOSSILVIO reserves the right to request an official technical service of the brand to verify the origin of the problem. If the defect is found to have been caused by misuse, the repair will be chargeable. In incidents that justify use of the warranty, the product will be repaired, replaced, discounted or refunded, under the terms legally established. CALZADOSSILVIO will carry out exchanges or refunds provided that:



a) Prior notice is given to our Customer Service Department: This step is essential regardless of the reason for the return. You may do so by sending us an email to ventas@calzadossilvio.com or by calling us on 976 483 928. We will tell you how to proceed with returning the item. Our telephone support hours are from 9:00 a.m. to 6:00 p.m., Monday to Friday.


b) The item to be returned must be correctly packaged for return. The packaging must be in perfect condition and retain all its original accessories and instructions. 


c) After verification, and if the above conditions are met, CALZADOSSILVIO will, as applicable, repair or replace the item, reduce the price or terminate the contract; these procedures will be free of charge for the consumer and user. CALZADOSSILVIO is liable for any lack of conformity that becomes apparent within two years of delivery. The consumer or user must inform the seller of the lack of conformity within two months of becoming aware of it.


FOURTH.- PERSONAL DATA PROTECTION:
4.1.- Information to the user regarding the existence of a file and request for consent to the automated processing of data: In relation to the personal data provided by the USER in the forms that may exist on both websites, CALZADOSSILVIO strictly complies with the applicable legislation established in Law 15/1999 on the Protection of Personal Data and other legislation implementing it, and informs the USER that the aforementioned data will be included in a file for automated processing, the USER giving consent to such processing by accepting these general terms and conditions.

4.2.- Purpose of the data: CALZADOSSILVIO collects and processes certain personal data freely entered by the USER in the form in order to respond to requests for information that may be made, manage purchases made and send commercial offers to all those interested in its products. In any event, the data collected and processed by CALZADOSSILVIO are solely the basic data required for the purposes indicated above.

4.3.- Mandatory nature of entering the data: The fields marked with an asterisk* in the existing forms require a mandatory response; if they are not completed, it will be impossible to make a purchase or request the information needed.

4.4.- Rights of access, rectification, cancellation and objection: The USER who enters their personal data in the various registration forms has the full right to exercise their rights of access, rectification, cancellation and objection at any time by requesting this at protecciondedatos@calzadossilvio.com or by post to Silvio S.L., C/ Royo nº 5 y 7, Zaragoza 50006.

4.5.- Data controller.- The data controller is Silvio SL, C/ Royo 5 y 7, Zaragoza, with Tax Identification Number B50347004. CALZADOSSILVIO has duly registered its file with the Data Protection Agency, which may be consulted at www.agenciaprotecciondatos.org.

4.6.- Data transfer.- CALZADOSSILVIO informs the USER that there will be no transfer of data to third parties. The only communications of data that may be made are those logically necessary for the very purpose for which they were provided, for example to transport companies in order to deliver the products to the address, such communication therefore arising from the freely accepted legal relationship.

4.7.- Security.- CALZADOSSILVIO guarantees the absolute confidentiality and privacy of the personal data collected and has therefore adopted essential security measures to prevent alteration, loss, processing or unauthorized access and thus guarantee its integrity and security. CALZADOSSILVIO shall in no case be liable for incidents that may arise concerning personal data when they result either from an attack on or unauthorized access to the systems in such a way that it is impossible to detect them using the security measures implemented, or when they are due to a lack of diligence on the part of the USER regarding the safekeeping and custody of their access credentials or their own personal data.

4.8. Accuracy of the data.- The USER is responsible for the accuracy of their data, undertaking not to enter false data and to modify it if necessary, either by requesting it directly at ventas@calzadossilvio.com or by accessing the private area from which it can be modified.

5.1.- THE OWNER shall in no event be liable for:
5.1.1.- Failures and incidents that may occur in communications, deletion, or incomplete transmissions, such that it is not guaranteed that the website services will be continuously operational
5.1.2.- The occurrence of any type of damage that USERS or third parties may cause to the website.


5.2.- THE OWNER reserves the right to suspend access without prior notice, at its discretion, either permanently or temporarily, until the effective liability for any damage that may occur has been established. Likewise, THE OWNER will cooperate with and notify the competent authority of these incidents as soon as it has reliable knowledge that the damage caused constitutes any type of unlawful activity.

In addition, the CALZADOSSILVIO website—its own content, programming and website design—is fully protected by copyright, and any reproduction, communication, distribution or transformation of the aforementioned protected elements is expressly prohibited unless expressly authorised by CALZADOSSILVIO.

EIGHTH.- JURISDICTION AND APPLICABLE LAW.-
These General Terms and Conditions are governed by Spanish law. At their choice, the parties submit, for the resolution of disputes and with waiver of any other jurisdiction, to the courts and tribunals of the user's domicile.

NINTH.-
If any clause of this document is declared null and void, the remaining clauses shall remain in force and shall be interpreted taking into account the intention of the parties and the purpose of these terms and conditions. CALZADOSSILVIO may refrain from exercising any of the rights and powers conferred in this document, which shall in no case imply a waiver thereof, unless expressly acknowledged by CALZADOSSILVIO.
